Terms and Conditions - Creator Program
TERMS OF SERVICE
These Terms and Conditions (“Terms”, or “Agreement”) for the DRMTLGY Creator Program (“Program”) are entered into by and between DRMTLGY, LLC (“DRMTLGY,” the “Company”, the “Brand”, “we,” “our,” or “us”) and the Creator (“Creator”, “you”, or “your”). BY AGREEING TO PARTICIPATE IN THE DRMTLGY CREATOR PROGRAM, YOU ACKNOWLEDGE AND AGREE TO BE BOUND BY THESE TERMS.
Program Participation
As a DRMTLGY Creator, you will receive complimentary DRMTLGY products every other month, subject to product availability and internal selection criteria. In return, you are expected to create, edit, and publish at least one piece of content on one of your personal social media channels (Instagram, TikTok, or YouTube) within 30 days of receiving the product.
While you're free to be creative, video content is strongly preferred. Please note that consecutive static posts and Instagram Stories alone do not meet the posting requirement. Specific guidelines, including required hashtags and creative direction, will be provided in an official Creative Brief.
Program Eligibility
Participants must be at least eighteen (18) years of age or older at the time of application. Creator must have an active public account on at least one major social media platform (Instagram, TikTok, or YouTube) and produce original content.
Content Usage Rights
Creator grants DRMTLGY a non-exclusive, worldwide, royalty-free and transferable license to use, reproduce, display, distribute, and edit the content created in connection with the Program in any format and through any distribution channel, current or future, for the duration of this agreement and after your participation in the program ends.
FTC Regulations
All content must comply with Federal Trade Commission (FTC) guidelines, including clearly disclosing your partnership with DRMTLGY using appropriate tags or disclaimers such as #gifted or #DRMTLGYPartner. You understand that you are individually responsible for ensuring your content complies with all applicable laws, including FTC requirements. The brand is not liable for any fines, penalties, or legal claims resulting from your failure to disclose your relationship as required.
Personal Conduct
You agree to conduct yourself with integrity, professionalism, and respect in all public and private interactions, including those involving DRMTLGY, our employees, customers, and other creators. DRMTLGY reserves the right to terminate your participation in the Program at any time if your behavior is deemed inconsistent with the brand’s values or if you engage in conduct that may harm our reputation.
Program Termination
This agreement remains in effect unless and until terminated by either party. DRMTLGY reserves the right to remove you from the Program at any time and for any reason, including but not limited to, failure to post required content, violation of these Terms, changes in internal selection criteria, or conduct issues.
Modifications
DRMTLGY reserves the right to update or modify these Terms at any time. Continued participation in the Program after any such updates constitutes your acceptance of the new terms.
Independent Contractor Status
Both parties acknowledge and agree that the relationship is that of an independent contractor. Your participation in the Program does not create a partnership, employment, joint venture, fiduciary relationship or agency arrangement with DRMTLGY. As an independent contractor, you are solely responsible for any taxes, reporting obligations, or liabilities arising from your participation in the Program.
Confidentiality
The company warrants that the Creator shall not disclose any confidential or proprietary information obtained during the performance of this Agreement. This includes the terms of the Agreement itself.
Entire Agreement
This document represents the complete and exclusive agreement between the parties concerning the subject matter and supersedes all prior agreements, whether oral or written. By accepting these Terms, you confirm that you have read, understood, and agreed to be bound by them. Both parties also confirm they have had the opportunity to consult legal counsel before entering this agreement. This agreement is governed by the laws of the State of California, excluding its conflict of law principles.
